Dave Sorin is an office managing partner of McCarter & English and Co-Chair of the Venture Capital & Emerging Growth Companies practice. He focuses primarily on privately- and publicly-owned startup, early stage, emerging growth, and middle market technology, tech-enabled and life science enterprises, as well as the investors, executives, and boards of directors who support and lead them. Dave has a long track record of successful representation of growth companies, having been repeatedly recognized by well-known periodicals for a unique combination of legal acumen and sound business judgment. He also brings to bear his broad range of knowledge and experience in counseling enterprises and investors in diverse emerging growth markets, technology industries (including software, artificial and augmented intelligence, VR/AR, information technology, e-commerce, cybersecurity and communications), and life sciences. Many of the companies he represents are well-known names throughout the Mid-Atlantic region and the nation.

One industry-leading publication has recognized Dave as one of New Jersey’s top 100 business people, categorizing him within an “elite group” of executives who “are the voices of their industries.” He was later identified by another industry publication as one of the region’s “top deal makers.” Chambers USA, an international guide to lawyers and law firms, called Dave the State’s top corporate lawyer, and, in 2017, a national leader in the representation of startup and emerging growth companies. SmartCEO Magazine named McCarter the large law firm of the year in the tech and tech-enabled industry sector and named Dave the leading lawyer in the industry. In addition, Dave Sorin received the Star Influencer Award at SmartCEO’s Centers of Influence Event.

Dave co-founded the law firm of SorinRand in 2009, was Managing Partner of the New Jersey and New York law offices of Buchanan Ingersoll Professional Corporation and of the Princeton office of Hale & Dorr LLP (now WilmerHale LLP), as well as a corporate practice area Vice-Chair. In addition, he serves as an adjunct professor, teaching a course on high-growth corporate transactions at the Cornell Law School Technology Law LLM Program. Previously, Dave served as a Clinical Associate Professor of Law at Drexel University, teaching Entrepreneurial Law, Legal Issues for Start-Ups, Venture Capital and Corporate Governance. He also served as an Adjunct Professor of Law at Seton Hall University School of Law, teaching Accounting for Lawyers and Mergers & Acquisitions. He began his legal career at Davis Polk & Wardwell.

The realities of the 21st century economy, dramatic advances in technology and rigorous analysis of their effects on the business and legal marketplace convinced Dave that service to startup, early stage, emerging growth and middle market enterprises is largely incompatible with the cost infrastructure, high leverage, and fee schedules generally associated with today’s law firm model. He and his partners founded SorinRand to meet the new business realities head-on, reinventing law firm practice to help clients achieve their goals, sensibly. Together, they joined McCarter & English to leverage McCarter’s geographical scale, size, and breadth of services to provide clients the many disciplines they require throughout their business lifecycles, while retaining the unique delivery model and value proposition offered by SorinRand.

Dave, who is a frequent speaker, panelist, and author on issues of interest to the emerging growth and middle market sectors, also is a Certified Public Accountant.

In 2016, he co-founded entreprenYOURS, Inc., a new accelerator program for startup tech and tech-enabled companies in New York and New Jersey, characterized by a unique system of cross-equity ownership designed to foster collaboration and community among the accelerator’s portfolio companies. In addition, he helped to co-found a new venture capital fund focused on investing in early-stage and emerging growth companies in New Jersey and the surrounding region that have demonstrated early traction in consumer-facing technologies and Internet-of-Things (IoT) verticals, among other tech and tech-enabled industry sectors.
