James F. Coffey is a partner in McCarter’s Corporate, Securities and Business Transactions Practice Group. He has extensive experience providing strategic counsel to companies in critical phases of transition, including start-ups and early stage development companies seeking angel funding as well as fully mature businesses seeking insight on exit strategies. Mr. Coffey represents emerging companies in several business sectors. Some of his early stage clients include companies in life sciences, health services, social networking, alternative energy, information technology, e-commerce and consumer products, among others.
Mr. Coffey’s corporate practice focuses on complex transactional and general business matters for both public and private companies, including mergers and acquisitions, partnerships and strategic alliances, and venture capital and angel financing. He also has significant commercial finance and turnaround experience. Mr. Coffey represents both borrowers and lenders in connection with sophisticated commercial loan transactions, and in distressed situations, has served as lead counsel in numerous corporate reorganizations, bankruptcies, workouts, receiverships, assignments for the benefit of creditors, distressed asset sales, and other complex corporate restructurings.
In addition, Mr. Coffey is an active member of the Boston Harbor Angels (BHA), one of New England’s largest and most active angel investor groups. He is a member of the Association for Corporate Growth and has served on the Massachusetts Advisory Board of the New England Legal Foundation. Mr. Coffey is an active member of the Boston Bar Association (BBA), where he served as co-chair of the BBA’s Solo & Small Law Firm Section, and the BBA’s Business Law Section Pro Bono Committee. He is a frequent lecturer for Massachusetts Continuing Legal Education (MCLE) and the National Business Institute. He serves as an adjunct professor of law at the New England School of Law and is a member of the President’s Council at Providence College.
A former candidate for the Massachusetts State Senate, Mr. Coffey was appointed by former Governor Mitt Romney to the Massachusetts Public Education Nominating Council. He has also served as general counsel to the Massachusetts Republican Party.
Mr. Coffey is listed in The Best Lawyers in America for 2012, 2013, 2014, and 2015. He has been recognized as a Massachusetts Super Lawyer for 2004-2009 and is listed in Super Lawyers, Corporate Counsel Edition for 2010.
