Thomas Kesoglou is a partner in McCarter & English's Corporate, Securities and Financial Institutions Practice Group. Mr. Kesoglou represents private equity funds, mezzanine funds, venture capital funds, SBICs and BDCs providing strategic and legal advice in connection with a variety of corporate transactions, including leveraged buyouts, mezzanine financings, early and late stage private equity and venture capital investments, secondary transactions and fund formations. Mr. Kesoglou also advises these investors in connection with the management of their portfolio companies, including follow-on acquisitions, follow-on debt or equity investments, bridge loans, restructurings, recapitalizations (including dividend recapitalizations), employment matters, stock plans and other general corporate matters.

Mr. Kesoglou serves as outside general counsel to a number of privately held and emerging growth companies. Mr. Kesoglou also represents several U.S. and foreign corporations in connection with their investment activities in the United States, including mergers and acquisitions.

In addition to advising his clients, Mr. Kesoglou actively seeks transaction opportunities to refer to private equity investors in order to facilitate transactions and increase deal flow for private equity investors.

Mr. Kesoglou is a frequent public speaker on corporate legal matters and has authored several articles published in leading magazines, including Buyouts, Financier Worldwide, and The Deal. He was named 2014 AM&AA Conference Chair of the Year and AM&AA Chapter Leader of the Year in January 2013 by the Alliance of Merger & Acquisition Advisors and was appointed as Chairman of its 2013 summer conference and 2014 winter conference.

Mr. Kesoglou began his legal career in the New York office of Goodwin Procter LLP in its Private Equity Group. Prior to becoming an attorney, Mr. Kesoglou worked as an investment banker in the Real Estate Finance and Securitization Group of CIBC World Markets in New York.

We represented Alston Capital Partners, LLC, a private equity firm focused on the environmental and specialty manufacturing sectors in the lower middle market, in connection with a growth equity investment in a leading provider of industrial cleaning services.  The Company’s specialty services include hydroblasting, vacuum services, chemical cleaning, and hydrocutting provided to refineries and chemical plants located throughout the United States.
Represented White Wolf Capital LLC in Leveraged Recapitalization
We represented White Wolf Capital LLC, a private equity firm focused on management buyouts, recapitalizations and investments in leading middle market companies, in its leveraged recapitalization of Aero Precision, Inc.
Represented RKL Building Specialties Co., Inc. in the sale of its assets to Hohmann & Barnard, Inc.
We represented RKL Building Specialties Co., Inc., a manufacturer and distributor of custom stone and masonry products, in the sale of its assets to Hohmann & Barnard, Inc., an indirect subsidiary of Warren Buffett's Berkshire Hathway, Inc. and the world's largest manufacturer of reinforcing, anchoring and other masonry construction products.
Represented Convene in connection with Senior Secured Growth Financing
We represented Convene a progressive developer and provider of specialized conference spaces and integrated services for off-site professional meetings, in connection with the issuance of Senior Secured Notes to Tamarix Capital Partners, L.P.  and Boathouse Capital LP, both of which are private equity funds that invest in debt and equity in lower middle market companies.
Represented BNY Mellon-Alcentra Mezzanine Partners with its investment in Global Telecom & Technology, Inc.
We represented BNY Mellon-Alcentra Mezzanine Partners, a private equity and mezzanine fund that provides debt and equity capital to support management buyouts, recapitalizations, acquisition financing and growth capital, in connection with its purchase of senior subordinated notes and warrants and its PIPE investment in Global Telecom & Technology, Inc., a US based company that provides wide area networks, Internet access, and managed data services.
Represented Colortree Group, Inc. with its acquisition of Direct Impressions, Inc.
We represented Colortree Group, Inc., a portfolio company of Boathouse Capital, a $120 million private equity firm that invests mezzanine debt and equity into lower middle market businesses across the U.S., in the acquisition of Direct Impressions, Inc., a graphic arts company specializing in printing, mailing and direct-mail marketing services.
