Bernard C. Devieux is an associate in the firm’s Corporate, Securities & Business Transactions group. His practice focuses on mergers and acquisitions, debt and equity financing transactions, securities law compliance, public company reporting requirements, corporate governance and commercial contracts. Bernard also has experience serving as Delaware counsel to businesses, boards, management teams, investors, investment managers and lenders in matters involving Delaware corporate and alternative entity law, including matters involving the fiduciary obligations of directors, officers and controllers of Delaware corporations, the formation, reorganization and dissolution of Delaware LLCs, limited partnerships and other alternative entities, and the preparation of third-party closing opinions.

Represented a publicly traded manufacturer, marketer and distributor of branded snack food products in its acquisition of the leading manufacturer of sugar free and no sugar added pre-baked in-store bakery items
Represented bicycle design and wholesale business in its merger with the largest specialty bicycle retailer in the U.S., and helped close a new credit facility for the combined company
Represented a leading provider of mobile communications compliance software solutions in its sale to a national cloud-based compliance and e-discovery solutions provider
