Dan litigates complex commercial disputes and defends corporations and individuals in white collar and regulatory matters. On behalf of corporate and individual clients, he has prosecuted and defended claims involving breach of contract, fraud, breach of fiduciary duty, professional negligence, RICO, shareholder oppression, federal and state securities laws, enforcement of non-compete agreements and emergent applications for injunctive relief. His clients include leading financial services, food and beverage, and professional services companies.

Dan handles criminal and regulatory investigations and proceedings, and he conducts internal corporate investigations. He represents broker-dealers and registered individuals in arbitrations before FINRA, with a focus on claims involving “selling away,” control person liability and the duty to supervise. His experience representing financial institutions also includes defending claims concerning overdraft protection services and bank service fees on the grounds of federal preemption.

A proponent of community service, Dan frequently represents pro bono clients, often assisting them with expungement of criminal records and special education matters, among other pro bono representations. He currently serves as a member of the District VI Ethics Committee (2013-2021), one of New Jersey’s 18 county-based District Ethics Committees which investigate and prosecute ethics cases involving New Jersey attorneys. In 2018, the New Jersey Law Journal selected Dan as a “New Leader of the Bar.”

Prior to joining McCarter, Dan served as a law clerk to the Honorable Neil H. Shuster, P.J.Ch. (Ret.), in the Superior Court of New Jersey, Chancery Division, General Equity. During his clerkship, he gained significant experience in the order to show cause process for obtaining emergent injunctive relief.

Representative Matters

Dan has played a significant role on McCarter teams representing:
A former managing director of a specialty finance company in a $30 million lawsuit over the financing of an independent motion picture; we obtained a defense verdict following a two-week trial.
A specialty food distributor in a New Jersey state court action involving claims for breach of contract and fraud, and successfully obtaining dismissal at the pleading stage of related claims against our client’s CEO.
A global insurance provider and its subsidiaries in successfully defending against a putative class action in federal court concerning investment losses resulting from the global Ponzi scheme perpetrated by Bernard Madoff.
A prominent New York-based real estate development company in connection with the New Jersey federal “Bridgegate” investigation.
