Jeffrey Muller is a partner in, and the Practice Group Leader of, the firm’s Tax, Employee Benefits and Private Clients Group.  His practice focuses on federal income taxation with an emphasis on transactional matters.  He regularly advises clients on choice of entity considerations,  mergers and acquisitions, business restructurings, real estate transactions, partnership matters and other joint ventures. 

Mr. Muller also has extensive experience representing clients in business planning and corporate matters such as mergers and acquisitions, joint ventures and general corporate matters across many industries.

With respect to his concentration in mergers and acquisitions, Mr. Muller’s representative transactions include:

  • Representation of Verisk Analytics, Inc., a leading data analytics provider, in numerous acquisitions and divestitures, including the following:

          o    $200 million (plus up to $80 million earnout) acquisition of PowerAdvocate;
          o    $151 million acquisition of LCI;
          o    $112 million acquisition of G2 Web Services;
          o    $820 million divestiture of Verisk’s healthcare services business to 
                Veritas Capital; and
          o    $155 million divestiture of Interthinx

  • Representation of White Wolf Capital in its acquisition of a majority stake in a Canadian-based manufacturing company;
  • Representation of Convene in connection with a recapitalization transaction and the issuance of Series A Preferred Units to Conversion Venture Capital and Boathouse Capital;
  • Representation of White Wolf Capital LLC in its leveraged recapitalization of Technicut Tool, Inc.;
  • Representation of Colortree Group, Inc. with its acquisition of Direct Impressions, Inc.

Prior to joining McCarter, Mr. Muller was a member of KPMG, LLP’s tax practice, representing corporate clients on federal tax planning and compliance issues.

We represented White Wolf Capital LLC, a private equity firm focused on management buyouts, recapitalizations and investments in leading middle market companies, in its leveraged recapitalization of Technicut Tool, Inc. based in Ontario, Canada, a manufacturer of high-precision machined metal components.
Represented Convene in connection with Recapitalization Transaction
We represented Convene, a progressive developer and provider of specialized conference spaces and integrated services for off-site professional meetings, in connection with a recapitalization transaction and the issuance of Series A Preferred Units to Conversion Venture Capital, a family office based in New York and Boathouse Capital, a private equity firm that invests in mezzanine debt and equity into lower middle market businesses.
Represented Colortree Group, Inc. with its acquisition of Direct Impressions, Inc.
We represented Colortree Group, Inc., a portfolio company of Boathouse Capital, a $120 million private equity firm that invests mezzanine debt and equity into lower middle market businesses across the U.S., in the acquisition of Direct Impressions, Inc., a graphic arts company specializing in printing, mailing and direct-mail marketing services.
Represented a Developer with Senior Secured Growth Financing
We represented a developer and provider of specialized conference spaces and integrated services for off-site professional meetings, in connection with the issuance of Senior Secured Notes to private equity funds that invest in debt and equity in lower middle market companies.
Represented Praesidian Capital in First-Lien debt for House of Television Rentals, Inc.
We represented Praesidian Capital, a leading provider of senior and subordinated debt for small and mid-sized companies, in providing first-lien debt for House of Television Rentals, Inc. (“HOTV”) to recapitalize the company.  HOTV is a household appliance, furniture and electronics rent-to-own business.
Represented White Wolf Capital LLC in Leveraged Recapitalization
We represented White Wolf Capital LLC, a private equity firm focused on management buyouts, recapitalizations and investments in leading middle market companies, in its leveraged recapitalization of Aero Precision, Inc.
