Represented an automotive dealership in the purchase of a dealership in Massachusetts. Our work included the preparation and negotiation of an Asset Purchase Agreement, structuring of the ownership entity, review and negotiation of documentation with the manufacturer’s distributor, review of third-party funding documents, and review and negotiation of floor plan and capital loan documentation as well as the supervision of closing documentation, approvals, assignment of lease, settlement statement, and funding.
