Seasoned duo brings international and domestic corporate securities practice, with strong Asia-Pacific focus
McCarter & English announced today the addition of partners Huan Lou and David Manno to its Corporate Practice Group in New York. The pair join from corporate securities firm Sichenzia Ross Ference Carmel LLP and bring an active capital markets and corporate securities practice known for advising domestic and international companies—particularly in the Asia-Pacific region—on complex financing transactions, including IPOs, private placements, and secondary offerings.
The move significantly enhances McCarter’s capabilities in advising clients accessing US capital markets, particularly those in high-growth sectors like life sciences, fintech, logistics, and manufacturing.

Lou’s practice focuses on representing public and private companies, issuers, and underwriters in corporate and securities law matters, including mergers and acquisitions, IPOs, and SPACs, with an emphasis on helping clients raise capital in the US markets. She represents a broad range of companies across the technology, biotech, and fintech sectors, and has deep experience advising Asia-based companies—particularly in China, Hong Kong, Singapore, Taiwan, Malaysia, and Japan—seeking to go public and access US capital markets. She also counsels clients on strategic transactions in Europe and the UK.

Manno’s practice spans the full corporate lifecycle, from formation through private capital raises, public offerings, and regulatory compliance. He regularly represents issuers, underwriters, and investors in capital markets transactions, including IPOs, secondary offerings, and SPAC-related deals. His work spans various industries and geographies, including a substantial Asia-Pacific focus.

Lou earned her JD cum laude from the University of Minnesota Law School and holds undergraduate degrees from Peking University. She is fluent in Mandarin and regularly travels to Asia. Manno earned his JD with distinction from the Maurice A. Deane School of Law at Hofstra University and holds a BBA in management from Hofstra University.
