A diligent advocate for his clients, David offers strategic capital markets advice for public and private companies, issuers, and underwriters.

David Manno represents domestic and international public and private companies in capital raising transactions, including private placements, initial public offerings (IPOs), follow-on public offerings, and shelf takedowns. He advises companies on NYSE or Nasdaq initial listings as well as post-listing compliance. Over the years, David has counseled businesses involved in public offerings of special purpose acquisition companies (SPACs), as well as the subsequent business combinations. David’s clients also include issuers and financial institutions, which he represents in a wide range of investments.

David regularly represents overseas issuers in financing transactions in the United States.

In addition to his transactional practice, David supports public companies with ongoing federal securities law compliance and assists in preparing Securities and Exchange Commission filings, including registration statements on Forms S-1, F-1, S-3 and S-4, proxy statements, and Forms 10-K, 20-F, 10-Q and 8-K. David also counsels board of companies and their boards of directors on general corporate matters including corporate governance.

Represented INLIF Limited (NASDAQ: INLF), a Cayman Islands holding company primarily engaged in the research, development, manufacturing and sales of injection molding machine-dedicated manipulator arms, in an “at-the-market” (ATM) equity offering program under which the Company may offer and sell, from time to time, its Class A ordinary shares having an aggregate offering price of up to $100 million.

Represented INLIF Limited (Nasdaq: INLF), a Cayman Islands exempted company engaged in the research, development, manufacturing, and sales of injection molding machine-dedicated manipulator arms, in an approximately $32.34 million private placement transaction exempt from US registration under Section 4(a)(2) and Regulation S.

Represented LQR House Inc. (NASDAQ: YHC), a niche ecommerce platform specializing in the spirits and beverage industry, in its $6.52 million registered direct offering with investors and certain directors and officers of the Company. A.G.P./Alliance Global Partners acted as the sole placement agent for the offering.

Represented Inno Holdings Inc. (NASDAQ: INHD), a Texas holding company primarily engaged in trade-focused building technology and electronic products trading, in an “at-the-market” (ATM) equity offering under which the Company may offer and sell from time to time shares of its common stock having an aggregate offering price of up to $50,000,000.

A Represented Hitek Global Inc. (NASDAQ:HKIT), an offshore holding company incorporated in the Cayman Islands, with an operational business in the information technology consulting and solutions servicing provider industry, in an at-the-market offering (“ATM”) under which the Company may offer and sell from time to time shares of its common stock having an aggregate offering price of up to $30,000,000.

Represented CIMG Inc. (NASDAQ: IMG), a business group specializing in digital health and sales development, in a $55 million private placement of its common stock in exchange for 500 Bitcoin.

Represented Inno Holdings Inc. (NASDAQ: INHD), a trade-focused building technology and electronic products trading company, in its $7.2 million registered direct offering with institutional investors. Aegis Capital Corp. acted as exclusive placement agent for the offering.

Represented a freight forwarding company and logistics service provider in its $6 million initial public offering.

Represented a provider of clean-energy equipment and integrated solutions for the oil and gas industry in its $5.5 million initial public offering.
