Jeffrey Muller is a partner in the firm’s Tax, Employee Benefits and Private Clients Group. His practice focuses on business transactional and corporate matters, including federal income tax and business planning. He regularly advises clients on mergers and acquisitions, choice of entity considerations, business restructurings and recapitalizations, real estate transactions, corporate and partnership tax matters, operating and partnership agreements and other joint ventures.

Prior to joining McCarter, Jeff was a member of KPMG, LLP’s tax practice, representing corporate clients on federal tax planning and compliance issues.

Represented Verisk Analytics, Inc., a leading data analytics provider, in numerous acquisitions and divestitures, including the following:

$5 million acquisition of Pruvan, a prominent provider of field-to-office management solutions for property preservation and construction professionals;
$225 million acquisition of Infutor, a leading provider of identity resolution and consumer intelligence;
acquisition of a leading public record data aggregation firm that specializes in driver risk assessment in the United States;
$160 million acquisition of Franco Signor, a full-service provider of MSP compliance software and services;
investment in Vexcel, a provider of aerial camera systems and fully integrated photogrammetry software;
acquisition of Flexible Architecture, Simplified Technology (FAST), a leading provider of end-to-end software for the life insurance and annuity markets;
$151 million acquisition of LCI;
$112 million acquisition of G2 Web Services;
$820 million divestiture of Verisk’s healthcare services business to Veritas Capital; and
$155 million divestiture of Interthinx

Represented Health & Wellness Partners Group, LLC (“HWP”) in connection with its partnership and recapitalization with NMS Capital. HWP, a leading provider of medical communications solutions to global life sciences companies.

Represented Molecule VFX, an established visual effects company based in NYC and Los Angeles in its sale to Crafty Apes, a full-service visual effects powerhouse with seven production facilities across North America.

Represented Maser Consulting P.A., one of the leading multi-discipline engineering design service firms in the U.S. in its sale of a controlling interest to leading global commercial real estate services and investment management firm, Colliers International.

Represented Nitta Gelatin Inc., a public company listed in Tokyo Stock Market, specialized in the production and distribution of collagen products for the pharmaceutical, food and industrial sectors, in its sale of Nitta Casings Inc. in the United States and Nitta Casings (Canada) Inc. in Canada.

Represented a refractory lining and chimney construction-related business in its acquisition of a company specializing in masonry and steel structures, as well as in its acquisition of a company engaged in the construction of large industrial chimneys and tall specialized structures.

Represented RTP Technology in its sale to Mainline Information Systems.
