Jeffrey Muller is a partner in, and chair of, the firm’s Tax, Employee Benefits and Private Clients Group. His practice focuses on federal income taxation with an emphasis on transactional matters. He regularly advises clients on choice of entity considerations, mergers and acquisitions, business restructurings, real estate transactions, partnership matters and other joint ventures.
Jeff also has extensive experience representing clients in business planning and corporate matters such as mergers and acquisitions, joint ventures and general corporate matters across many industries.
With respect to his concentration in mergers and acquisitions, Jeff’s representative transactions include:
Representation of Verisk Analytics, Inc., a leading data analytics provider, in numerous acquisitions and divestitures, including the following:
- $200 million (plus up to $80 million earnout) acquisition of PowerAdvocate;
- $151 million acquisition of LCI;
- $112 million acquisition of G2 Web Services;
- $820 million divestiture of Verisk’s healthcare services business to Veritas Capital; and
- $155 million divestiture of Interthinx
Representation of White Wolf Capital in its acquisition of a majority stake in a Canadian-based manufacturing company;
Representation of Convene in connection with a recapitalization transaction and the issuance of Series A Preferred Units to Conversion Venture Capital and Boathouse Capital;
Representation of Colortree Group, Inc. with its acquisition of Direct Impressions, Inc.; and
Representation of RTP Technology in its sale to Mainline Information Systems.
Prior to joining McCarter, Jeff was a member of KPMG, LLP’s tax practice, representing corporate clients on federal tax planning and compliance issues.
