Jessica T. Osterlof focuses her practice on transactional and corporate matters, as well as healthcare regulatory compliance. As an associate in McCarter & English’s Newark office, she counsels clients across industries, with a particular emphasis on the healthcare sector.
Jessica counsels companies—from emerging entities to established organizations—on a variety of corporate matters and transactions, including mergers and acquisitions, business formations, joint ventures, and private equity transactions. She assists clients in navigating complex governance structures and drafting critical corporate documentation, ensuring compliance with both internal policies and regulatory frameworks.
Jessica has a diverse healthcare practice, regularly advising providers, physician groups, and other healthcare entities on a range of matters. Her experience includes drafting and revising various healthcare contractual agreements, including, but not limited to, administrative service agreements, clinical research and trial agreements, financing agreements, employment agreements, asset and stock purchase and sale agreements, real property leases, operating agreements, and related ancillary documents. Jessica also provides guidance to her clients to ensure compliance with federal and state healthcare regulations such as Medicare, Medicaid, HIPAA, Stark Law, the Anti-Kickback Statute, the False Claims Act, and state licensure requirements. Her practice also includes advising clients on cannabis regulatory compliance and licensing.
Jessica’s dual focus on regulatory and transactional matters allows her to provide clients with comprehensive, business-minded legal guidance in an increasingly complex healthcare landscape.
In addition to her transactional and regulatory practice, Jessica maintains a strong commitment to pro bono service. Her pro bono work includes participation in legal clinics and individual matters focused on assisting veterans and advocating for the rights and welfare of children.
Jessica received her JD with a concentration in Health law from Seton Hall University School of Law where she was an articles editor for the Seton Hall Legislative Journal.
