Peter Gennuso represents startups and established companies throughout their business life cycle with a focus on generating operating capital. His work includes advising private and publicly held U.S. and multinational companies in securities and capital-raising, venture capital, private equity, and banking and finance matters. Pete is particularly experienced in providing counsel to early stage and emerging growth companies, as well as entrepreneurs.

Pete handles multimillion-dollar securities offerings, including private placements, initial public offerings (IPOs), private investment in public equity (PIPE) transactions, public company filings, and Sarbanes-Oxley compliance matters. He also represents underwriters and placement agents in securities offerings.

In addition to transactions, Pete brings real-world experience—including serving on the board of a public company and holding executive positions at several startups—to his corporate governance, risk management, disclosure, and business operations advice.

His clients span a variety of innovative sectors, from pharma and life sciences to technology and artificial intelligence.

Representative Matters

The Marygold Companies—Upsized IPO

Closed an upsized mini re-IPO and uplist to the NYSE American for The Marygold Companies (f/k/a Concierge Technologies), which is a diversified global holding firm, with operating subsidiaries around the globe in fintech, ETFs, and a wide array of consumer products. 

Aurox Holdings—Initial round financing

Represented Texas-based Aurox Holdings in a $5 million initial round financing to certain accredited investors.  Aurox is a trading platform that solves DeFi lending and DEX limitations by leveraging the efficiency in decentralized lending to power 4x margin lending capabilities.

Esousa Holdings—Secured promissory note

Represented New York-based Esousa Holdings, LLC in a $32.5 million investment in a secured promissory note of BitNile, Inc., a public company listed on the NYSE American.

Esousa Holdings—Secured promissory note

Represented New York-based Esousa Holdings, LLC in a $12.5 million bridge investment in a secured promissory note of BitNile, Inc., a public company listed on the NYSE American.

Siyata Mobile—PIPE deal

Represented Vancouver-based Siyata Mobile Inc. (Nasdaq: SYTA), a global vendor of Push-to-Talk over Cellular devices, in a private investment in public equity (PIPE) transaction involving the sale of a senior secured convertible note and common shares purchase warrant.
