A McCarter team represented FMC Corporation (FMC) in signing a definitive agreement for the sale of its Global Specialty Solutions (GSS) business to Environmental Science US, LLC (Envu) for $350 million. The deal was announced on July 11, 2024, and the transaction is expected to close by year-end 2024, subject to regulatory approval and other customary closing conditions.
The cross-practice, multi-office team was led by Philip D. Amoa and primarily supported by Jedediah Ande, Kendeil Dorvilier, Basam Nabulsi, Mark Giarratana, and Alan Kornstein.
FMC is a global agricultural sciences company dedicated to helping growers produce food, feed, fiber and fuel for an expanding world population while adapting to a changing environment. Envu is an environmental science company providing innovations that protect and enhance the health of environments around the world.
