Represented a diversified global holding firm in an initial closing of its secured promissory notes for gross proceeds of $4.4 million. A full-service investment bank acted as the sole placement agent of the offering.
FMC Corporation—Carve out
Represented FMC Corporation in signing a definitive agreement for the sale of its Global Specialty Solutions business to Envu for $350 million.
Consultant company—Acquisition
Represented a multinational management and technology consultant, with over $1 billion in revenue, in its acquisition (through its joint venture focusing on cloud technology and innovation) of a U.S. full-service enterprise resource planning solution provider for mid-market manufacturing businesses.
Transfix—Sale of freight brokerage business unit
Represented Transfix, a digital freight management and logistics company, in the sale of its freight brokerage business to strategic buyer NFI Industries. Transfix will now operate as a technology developer and supplier offering its proprietary transportation management system and other logistics software.
Hedge fund manager—Private sale of public company equity
Represented a hedge fund manager and the selling stockholders in a $72 million private transaction with a global financial services firm of shares of a NASDAQ-listed software company in the hospitality industry.
Logistics company—Spinout
Represented a logistics company in the spinout of a portion of its business in Georgia. The transaction was structured as an equity purchase and an asset sale. The company is focused on providing third-party logistics services in the retail, food distribution, and transportation industries.
Investment advisor—Preferred stock investment
Represented a special purpose vehicle managed by a registered investment advisor in its investment into a metal electrode company.

Represented a national company offering healthcare solutions and tech-enabled services in its continued investment into, and purchase of preferred stock of an early stage technology platform for healthcare providers to access medical data, research, and studies in a digestible format. Our corporate investor client previously invested in the company through a number of simple agreements for future equity (SAFEs) that also converted into preferred stock.

Completed the first closing of an expected $1.5 million convertible note financing provided to our client, a leading IT consulting firm, by existing investors, Serena Ventures and Aperture VC. The company is an Atlanta-based tech company providing software solutions to the retail industry.
