Real Estate Finance

Our finance lawyers help clients to secure financing and structure investments to move forward on projects and strategic plans involving real property.

We represent lenders, investors, and borrowers in the full range of financing and investment transactions involving real estate, including:

  • Fee and leasehold mortgages;
  • Security agreements;
  • Permanent, interim, and construction loan financing;
  • Syndicated and mezzanine financing arrangements;
  • Commercial mortgage-backed securities transactions; and
  • Mortgage loan workouts and foreclosures.

We negotiate lending arrangements secured by varied asset types and sizes ranging from single assets to multi-asset property portfolios located around the country. To facilitate some of these transactions, we help clients structure joint venture, partnership and other ownership and operating arrangements. In partnership with our tax and corporate finance attorneys, we advise on the tax ramifications of such transactions and help clients capitalize on investment opportunities involving historic and new market credits and emerging Qualified Opportunity Zone transactions.

Representative Matters

Large insurance company—Financings

Negotiated a number of loans secured by real property portfolios for this large insurance company, including a $75 million loan with a complex cross-collateralization structure involving two multi-family apartment complexes in Massachusetts.

Major national bank—Refinancing

Represented a national bank in a $68 million refinancing of an industrial building portfolio in Massachusetts.

Major national bank—Refinancing

Represented a national bank in a $100 million refinancing of an 800-unit residential apartment complex in Atlanta, Georgia.

Major national bank—Loan

Represented a national bank in a $44 million loan transaction with a pension fund to finance the construction of a one-million-square-foot, build-to-suit warehouse and distribution center for a Fortune 500 company in New Jersey.

Regional bank—Loan

Represented a national bank in a $38 million loan to finance the purchase of a boutique hotel in Boston, Massachusetts.

Regional Bank—Financing

Represented a regional bank lender as lead agent in a $40 million syndicated acquisition and construction loan secured by a multi-tenant office buildings in Falls Church, Virginia.

National bank—Loan modifications

Represented a national bank in negotiating the modification of several loans with approximately 38 related borrowers secured by New York and Chicago taxi medallions and New York commercial property mortgages. Also represented the bank in negotiating the modification of a five-year, $74 million loan, which was secured by two New York properties and taxi medallions.

Multinational financial services company—Construction loan

Represented the social investment arm of a multinational financial services company in financing a large construction loan and in related historic tax credit and new market tax credit financings as part of a joint venture redeveloping the more than 400,00-square-foot former historic art-deco headquarters of New Jersey Bell at 540 Broad Street in Newark, New Jersey into a 260-unit, mixed-use apartment, office and retail complex.

Life and annuity company—Loan

Represented a major Colorado-based life and annuity company in financing a $78 million permanent loan for a combination offices and residences site in New York City.

Regional developers—Acquisition, financing, development work

Represents multistate developers in the acquisition, financing, and development of multifamily developments using multi-layered financing, including LIHTC, state, federal, and commercial financing.

REACH Riverside—Redevelopment financing

Represented REACH Riverside Development Corporation in completing the financing for phase one of eight of the multifaceted redevelopment—modeled on the holistic community redevelopment principles of the nationally renowned Purpose Built Communities network—of Northeast Wilmington, Delaware’s Riverside neighborhood.

Regional lender—Construction loan

Represented a regional lender in negotiating a $65 million construction loan with a developer for construction of a warehouse and distribution center for a Fortune 100 company.

Lender—Syndicated financing

Structured the syndicated financing of retail power centers in Illinois for $125,000,000 and in Tennessee for $87,500,000 as well as office properties in California for $73,000,000 and $65,000,000 and in Texas for $45,000,000.

Multinational financial services company—Construction loan

Represented a multinational financial services company in financing a $30 million construction loan for the development of One Theater Square, a 22-story, 245-unit multi-family, mixed use apartment complex in downtown Newark, New Jersey, the first new ground-up upscale residential high rise in the city since 1960. We represented the client in related tax credit and bond financings.

Multinational financial services company—Construction loan

Represented a multinational financial services company in a joint venture with a developer involving the multi-use redevelopment of a 400,000-square-foot former department store in Newark, New Jersey, which includes a 30,000-square-foot supermarket on its first floor. We helped the client secure financing through a partnership between public, non-profit, and private groups.

Major financial services company—Loan syndication

Represented a major financial services company in financing a $117 million syndicated loan for a university housing project in Philadelphia and in the post-closing syndication of the loan.

Major financial services company—Loan syndication

Represented a major financial services company in financing a $200 million syndicated permanent term and construction loan secured by a portfolio of more than 50 industrial buildings.
