Steve handles transactional federal tax and business planning matters, including advising on taxable and tax-free mergers and acquisitions; the organization, reorganization and strategic tax counseling of closely held corporations, partnerships, limited liability companies and joint ventures; the negotiation and structuring of buy-sell agreements; and the analysis of tax issues associated with equity-raising transactions undertaken by public and closely held corporate and unincorporated business entities.
Steve has particular experience with respect to issues involving Subchapter T cooperative corporations and sophisticated like-kind exchange transactions.
He is an Adjunct Professor of Law at Seton Hall University School of Law, a former chairman of the Taxation Section of the New Jersey State Bar Association, and is a frequent lecturer on topics relating to the federal taxation of, and business planning for, partnerships, S corporations and limited liability companies. Steve served as Firm-wide managing partner of McCarter & English from 2010 to 2016.
