Mr. Fox is a partner in the firm's Corporate, Securities and Financial Institutions' Practice Group. His practice focuses on transactional work such as mergers and acquisitions and, for issuers and investors, capital raising transactions for both public and private entities including venture capital transactions.
Mr. Fox also represents clients in general corporate matters such as development arrangements, joint venture opportunities, consulting agreements, agreements for the sale or lease of products, agreements with principal suppliers and securities law compliance.
With a concentration in mergers and acquisitions, Mr. Fox has represented companies across many industries including defense contracting, manufacturing, health care, solar development, entertainment, technology, media and many others. Representative transactions include the sale of Sensor Technologies to ManTech, International Corporation the sale of a retail self-checkout company to IBM, the purchase of a children’s entertainment product line from the Topps Company, the sale of a home health care agency to a large private equity firm, the purchase by Hayward Industries of a pool heater company, the sale to Corbis Corporation of a stock photography company, the sale of The Purdy Corporation to The Timken Company, the financing of KDC Solar LLC and multiple acquisitions of solar development projects by KDC Solar.
